Checklist for Singapore Company Registration
Company Name

The company name must be approved and reserved with ACRA.

A private limited company typically ends with “Pte. Ltd.”
Business Activities

Select one primary and, where applicable, one secondary SSIC business activity.
Directors
-
At least one director must be ordinarily resident in Singapore.

Directors must be individuals aged 18 or above and must not be disqualified.
Shareholders
-
At least one individual or corporate shareholder is required.
-
100% foreign ownership is permitted.

S Pass and Work Permit holders are not allowed to operate or manage a business in Singapore.
Share Capital

A company can be incorporated with as little as S$1 in share capital.

The share capital may be increased at any time after incorporation.
Company Secretary

A company secretary must be an individual who is ordinarily resident in Singapore.

The sole director cannot also act as the company secretary.

The secretary must be appointed within six months of incorporation.
Registered Office

ZN Overseas can provide a registered office address.

The company must maintain a physical address in Singapore. A P.O. Box is not permitted.

Complete the incorporation form and provide all required information and supporting documents.
